Terms of Use

These Terms of Use govern your access to and use of the products, services, and websites of Bineric AS (org. no. 926 115 626), including NorskGPT. By accessing or using the Services, you agree to these Terms. If you do not agree, do not use the Services.

1. Usage of Services

1.1 Permitted Use

You may use Bineric's Services for lawful purposes, including building, testing, and deploying AI applications. You are responsible for all activities that occur under your account and agree to use the Services only as outlined in these Terms.

1.2 Prohibited Use

You agree not to misuse the Services. This includes, but is not limited to:

  • Using the Services to engage in unlawful activities.
  • Attempting to disable, hack, or circumvent the functionality or security of the Services.
  • Using the Services to generate harmful content, including but not limited to hate speech, harassment, violence, illegal activities, or spam.

Bineric may investigate suspected violations of these Terms. We do this using automated safeguards and account and usage information. We do not routinely review the content of your conversations, as described in our Privacy Policy.

1.3 Age Requirements

You must be at least 18 years old to use Bineric's Services. If you are under 18, you may only use the Services with a guardian's consent and supervision. Our Services are not directed to children under 13 years old.

2. Account Requirements and Security

2.1 Account Creation

To use Bineric's Services, you may need to create an account. You agree to provide accurate and complete information and keep this information updated.

2.2 Account Security

You are responsible for safeguarding your account credentials and are liable for activities conducted under your account. Notify Bineric immediately if you suspect unauthorized access to your account.

3. API Terms

3.1 API Key Security

You are solely responsible for maintaining the confidentiality and security of your API keys. Do not share, publish, or expose your API keys in client-side code, public repositories, or any publicly accessible location. You are liable for all usage and charges incurred under your API keys.

3.2 Rate Limits and Usage Quotas

Bineric API is subject to rate limits and usage quotas based on your subscription plan. Exceeding these limits may result in temporary throttling or suspension of access. You agree not to circumvent or attempt to bypass these limitations.

3.3 Prohibited API Use

In addition to the general prohibited uses, you specifically agree not to:

  • Resell, sublicense, or redistribute API access without authorization.
  • Use the API to build competing AI services or model training datasets.
  • Make excessive requests intended to overload or disrupt the service.
  • Scrape, cache, or store API responses beyond reasonable operational needs.

3.4 Third-Party Applications

If you build applications using Bineric API, you are responsible for ensuring your application complies with these Terms and all applicable laws. You must clearly disclose to your users that your application uses third-party AI services and provide appropriate privacy notices.

4. CLI Terms

4.1 Local File Access

Bineric CLI may access files and code in your local environment to provide context-aware AI assistance. By using the CLI, you consent to this access. You are responsible for ensuring you have the right to share any code or files processed by the CLI.

4.2 Code Modifications

The CLI may suggest or make modifications to your code. You are solely responsible for reviewing, testing, and validating any code changes before deploying them. Bineric provides no warranty that generated or modified code will be error-free, secure, or suitable for any particular purpose.

4.3 No Liability for Code Issues

Bineric is not liable for any damages, losses, or issues arising from code generated, modified, or suggested by the CLI, including but not limited to bugs, security vulnerabilities, data loss, or system failures.

5. Agents Terms

5.1 Agent Actions and Responsibility

Bineric Agents can perform autonomous actions on your behalf, including executing multi-step tasks and using various tools. You are responsible for all actions taken by agents operating under your account, including any consequences of those actions.

5.2 Human Oversight

You agree to maintain appropriate human oversight of agent activities. For critical or irreversible actions, you should configure agents to require human approval. Bineric is not responsible for unintended consequences of unsupervised agent actions.

5.3 Tool and Integration Access

Agents may access external tools, APIs, and integrations you configure, including connectors to third-party accounts and MCP servers. Your use of a connected service remains subject to that service's own terms. You are responsible for ensuring agents have appropriate permissions and that connected services allow automated access. Bineric is not liable for any issues arising from agent interactions with third-party services.

5.4 Agent Output Accuracy

Agent outputs, decisions, and actions are generated by AI and may contain errors. You should verify important outputs and not rely solely on agent actions for critical decisions without human review.

6. Content and Intellectual Property

6.1 User-Generated Content

You retain ownership of any content, data, or models you submit or generate through the Services ("User Content"). We do not use your User Content to train our models. Content you post in a group chat or make available through a share link is visible to the people you share it with, and you are responsible for what you choose to share.

6.2 Bineric-Generated Content

Content generated by Bineric in response to user input may vary in accuracy. Bineric does not guarantee that generated content will be free from errors or omissions.

6.3 Intellectual Property

All intellectual property rights in and to Bineric Services, including software, content, and design, are owned by Bineric or its licensors. Users are granted a limited, non-transferable, non-sublicensable license to access and use the Services for their intended purpose.

7. Privacy and Data Use

7.1 Data Collection and Use

Bineric collects and processes personal data per its Privacy Policy, which outlines our practices regarding data use and protection, including which model providers process your content and where.

7.2 User Options

Where applicable, you may have options to control how Bineric uses your data, such as opting out of certain data collection practices.

8. Fees and Payment

8.1 Payment Terms

Access to certain features of Bineric Services may require a paid subscription or other fees. Payments are non-refundable except as provided in these Terms or required by law.

8.2 Subscription Plans

If you purchase a subscription, it will automatically renew unless canceled before the renewal date. Subscription fees are subject to change, and users will be notified in advance of any changes.

9. Termination and Suspension of Services

9.1 Termination

Bineric reserves the right to suspend or terminate your account or access to the Services at any time if you violate these Terms or if your use is deemed harmful or unlawful.

9.2 Effect of Termination

Upon termination of your account, your access to Services and data may be immediately discontinued, and Bineric may delete any data associated with your account.

10. Disclaimers and Limitations of Liability

10.1 Disclaimer

The Services are provided "as is" and "as available." Bineric disclaims all warranties, express or implied, including but not limited to fitness for a particular purpose, reliability, accuracy, and non-infringement.

10.2 Limitation of Liability

Bineric, its affiliates, and its licensors are not liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Services.

10.3 Limitation on Total Liability

Bineric's total liability for any claim arising out of or related to these Terms is limited to the amount paid by you, if any, for the Services in the past twelve months.

11. Indemnification

You agree to indemnify and hold harmless Bineric, its affiliates, and employees from and against all claims, liabilities, and expenses arising from your use of the Services or violation of these Terms.

12. Modifications to the Terms

Bineric reserves the right to modify these Terms at any time. Changes will be posted on this page, and we will notify you of material changes by email or within the Services. Your continued use of the Services after changes take effect constitutes acceptance of the new Terms.

13. Governing Law and Dispute Resolution

These Terms are governed by Norwegian law, and disputes will be resolved by the Oslo District Court. If you are a consumer, this does not deprive you of the mandatory protections of the law of the country where you live, or of your right to bring proceedings there.

Bineric's Acceptable Use Policy prohibits certain types of harmful or abusive content generation, such as promoting violence or hate speech. Violation of this policy may result in account suspension or termination.
